MapserverPro Terms and Conditions of Use

1. Definitions

“MapserverPro” or “MSP” refers to MapserverPro and all related services, systems, and infrastructure.

“Services” refers to GIS hosting infrastructure and related offerings provided by MSP.

“User” or “Customer” refers to any individual or entity using MSP Services.

“Content” refers to all data, files, GIS layers, and materials hosted or transmitted through MSP.

2. Acceptance of Terms

By accessing or using MSP Services, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, you are prohibited from using MSP Services.

3. Service Scope

MSP provides infrastructure-only GIS hosting services.

MSP does not create, manage, validate, or maintain Customer Content.

MSP is not responsible for how the Services are used.

4. Use License

Permission is granted to temporarily access MSP Services for lawful use only. You may not:

  • Modify or copy proprietary materials
  • Use Services for unlawful or unauthorized purposes
  • Attempt to reverse engineer or exploit MSP systems
  • Remove proprietary notices
  • Mirror or replicate MSP infrastructure without permission

Violation of these terms may result in immediate termination.

5. Billing and Subscription

5.1 Subscription Model
Services are billed on a recurring subscription basis.

5.2 Auto-Renewal
Subscriptions automatically renew unless canceled prior to the next billing cycle.

5.3 Payments
All fees are due in advance and are non-refundable except where required by law.

5.4 Non-Payment
Failure to pay may result in suspension or termination of Services without notice.

5.5 Taxes
Customer is responsible for all applicable taxes.

6. Service Availability

Services are provided on an “as-is” and “as-available” basis.

MSP does not guarantee uptime, availability, or performance.

Interruptions may occur due to maintenance, outages, or third-party failures.

7. Customer Data and Responsibility

7.1 Ownership
Customer retains all rights to their Content.

7.2 Responsibility
Customer is solely responsible for:

  • Data accuracy
  • Data security
  • Backups and recovery

7.3 No Liability for Data Loss
MSP is not responsible for loss, corruption, or unavailability of data.

8. Acceptable Use Policy (AUP)

The following activities are prohibited:

  • Illegal activity or promotion of unlawful conduct
  • Distribution of malicious software
  • Harassment, abuse, or threats
  • Fraud, phishing, or impersonation
  • Unauthorized access to systems or data
  • Sending spam or violating CAN-SPAM laws
  • Hosting illegal or infringing content

Violations may result in immediate suspension or termination.

9. Suspension and Termination

MSP may suspend or terminate Services at any time, with or without notice, including for:

  • Non-payment
  • Violation of these Terms
  • Security risks
  • Abuse of Services

Customer remains responsible for all charges incurred prior to termination.

10. Disclaimer of Warranties

MSP disclaims all warranties, express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

MSP does not warrant that Services will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the maximum extent permitted by law:

  • MSP’s total liability is limited to the amount paid by Customer in the 12 months preceding the claim
  • MSP is not liable for data loss
  • MSP is not liable for business interruption
  • MSP is not liable for lost profits
  • MSP is not liable for indirect, incidental, or consequential damages

12. Indemnification

Customer agrees to defend, indemnify, and hold harmless MSP from any claims, damages, or expenses arising from:

  • Use of the Services
  • Customer Content
  • Violation of these Terms
  • Violation of any law or third-party rights

13. Links to Third-Party Sites

MSP is not responsible for the content or practices of any third-party websites linked through the Services. Use of such sites is at the user’s own risk.

14. Modifications to Terms

MSP may update these Terms at any time without prior notice. Continued use of the Services constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

16. Dispute Resolution

Any dispute arising from these Terms shall be resolved through binding arbitration in Texas.

Customer agrees to waive any right to participate in class action lawsuits.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between MSP and the Customer regarding use of the Services.
